Launching a Tech Company in Vietnam
Unlike retail, F&B, or healthcare, software and SaaS businesses don't need a separate sector license to operate in Vietnam. What actually matters is getting the entity registered correctly and your IP protected early — Vietnam is first-to-file, so trademarks and code-related IP are worth securing before or alongside setup, not after.
Two Things, Not a Sector License
- Investment Registration Certificate (IRC) — if the company will be foreign-invested from day one
- Enterprise Registration Certificate (ERC) — registers the entity itself, also doubles as its tax registration
- Trademark registration — protects your brand/product name; first-to-file means early filing matters more than proving prior use
- Copyright registration — for original software, content, or creative work
- Patent registration — if the product involves a patentable invention, not just software implementation
